Terms for using this website and dealing with African Resolve Holdings.

These terms apply to website visitors, prospective clients, suppliers, subcontractors, delivery partners and any person who sends African Resolve Holdings an enquiry, quotation, proposal or supporting document.

Website content describes African Resolve Holdings, its capabilities and the experience represented within its leadership and founding team. Project-specific decisions require proper scope, verification and written terms.

Submissions create no appointment

Sending an RFQ, tender opportunity, supplier profile, proposal or partnership approach does not oblige either party to proceed or reimburse proposal costs.

Signed documents take priority

A signed contract, accepted quotation, purchase order, tender award or other authorised commercial instrument overrides inconsistent general website wording.

1. Scope and acceptance

By accessing or using this website, submitting information through it, or continuing a business discussion initiated through it, you agree to these terms. If you act for a company, public body, partnership, supplier, consortium or other organisation, you confirm that you are authorised to communicate and submit information on its behalf.

These terms govern the public website and preliminary engagement with African Resolve Holdings. They do not replace the terms of any signed contract, tender document, purchase order, non-disclosure agreement, service-level agreement, consortium agreement, employment agreement or other formal instrument.

Order of precedence Where a signed or formally accepted commercial document conflicts with these website terms, the commercial document governs the relevant transaction to the extent of the conflict.

2. Definitions

African Resolve Holdings

Means the business operating under the African Resolve Holdings name and includes its authorised representatives where the context permits.

Website

Means this website, its public pages, forms, files, media and related online functions.

Submission

Includes an enquiry, CV, company profile, proposal, quotation, tender document, specification, drawing, product list, reference or other material sent to African Resolve Holdings.

Commercial agreement

Means a document accepted by authorised parties that records the scope, price, responsibilities and other binding terms of work or supply.

3. Website information

The website provides information about African Resolve Holdings, its sectors, capabilities, leadership, operating approach and the experience available through its founding team, executives, earlier businesses and delivery relationships.

Content is provided for general business information. It is not legal, tax, accounting, engineering-certification, investment, procurement, B-BBEE, health-and-safety or other regulated professional advice. A project must be assessed against its actual specification, location, legislation, technical standards, budget and delivery conditions.

African Resolve Holdings may correct, expand, replace or remove website content without prior notice. A visitor should not treat an archived page, search-engine extract, screenshot or third-party reproduction as current.

4. Experience, project and company references

The website distinguishes, where relevant, between work performed directly by African Resolve Holdings and experience gained by its executives, founding team, prior businesses, employers, contractors, suppliers or delivery partners. A reference to historical work does not mean that every named project was contracted by African Resolve Holdings itself.

References to earlier companies, former employers, clients, public bodies, suppliers, brands, products or operating environments describe relevant experience and context. Unless expressly stated in writing, they do not imply current ownership, endorsement, sponsorship, agency, partnership, exclusivity or authorisation by the named organisation.

Project values, workforce sizes, user numbers, product ranges and similar figures are stated in good faith from available records and first-hand operating knowledge. Formal procurement or due-diligence processes may require supporting documents, references and confirmation of the precise contracting entity and role performed.

5. Electronic communications

Website forms, email and other electronic communications may constitute data messages under South African law. Sending a message does not prove that it was received, read, accepted or acted upon. Automated acknowledgements confirm technical receipt only.

African Resolve Holdings may retain electronic communications and associated metadata for operational, evidentiary, security, legal and compliance purposes. Electronic copies may be used as business records where permitted by law.

No person may rely on an instruction to change banking details, payment destinations, scope, pricing or delivery obligations unless it has been verified through an authorised channel. African Resolve Holdings may require telephone confirmation, signed documents or additional identity checks before acting on material instructions.

6. Contract formation and authority

Website content, capability statements, meetings, estimates, draft proposals and preliminary discussions are invitations to engage and not binding offers unless a document expressly states otherwise.

A binding commitment arises only when authorised parties conclude a written agreement or another legally recognised commercial instrument clearly records acceptance. No employee, consultant, introducer, supplier or representative may bind African Resolve Holdings unless that authority has been granted.

African Resolve Holdings may decline an opportunity, suspend negotiations or withdraw an unaccepted proposal where scope, risk, resources, compliance, pricing, supplier availability, client authority or delivery feasibility is not satisfactory.

Each party carries its own investigation, preparation and negotiation costs unless an authorised written agreement says otherwise.

7. Requests for quotation, tenders and commercial proposals

African Resolve Holdings accepts enquiries involving private-sector work, public procurement, supplier appointments, requests for quotation, requests for proposal, expressions of interest and subcontracting opportunities.

Information supplied by a requesting party

The requesting party is responsible for providing complete and accurate specifications, quantities, delivery locations, deadlines, standards, evaluation requirements, site conditions and commercial instructions. African Resolve Holdings may base pricing and delivery assumptions on that information.

Quotations and estimates

  • A quotation is valid only for the period stated in it.
  • Pricing may be conditional on supplier availability, exchange rates, freight, taxes, duties, minimum order quantities, site access, final design and scope confirmation.
  • An estimate is not a fixed price unless expressly identified as such.
  • Items, work or risks outside the stated scope may require a variation, revised quotation or separate instruction.
  • Technical equivalents or substitutions require appropriate review and, where necessary, client approval.

Tender and procurement documents

The applicable tender conditions, bid forms, evaluation criteria, contract data and award documents govern a formal public procurement process. Website content is not a tender response and should not replace signed schedules, declarations, certificates, references or supporting documents submitted for a specific bid.

African Resolve Holdings does not guarantee that a quotation, proposal or bid will be accepted, shortlisted or awarded. Award decisions remain with the relevant client or contracting authority.

8. Supplier, subcontractor and delivery-partner submissions

A supplier, manufacturer, subcontractor, consultant, staffing provider or prospective delivery partner must provide information that is accurate, current and authorised. This may include company records, ownership information, tax and B-BBEE evidence, pricing, references, qualifications, licences, safety files, insurance, banking confirmation and product or service information.

By making a submission, you authorise African Resolve Holdings to assess it, contact references, verify material claims and share necessary information internally or with professional advisers, clients, contracting authorities and project participants for legitimate evaluation and delivery purposes, subject to applicable confidentiality and privacy obligations.

A submission does not create:

  • an approved-vendor status;
  • a subcontract, joint venture, partnership or agency;
  • an obligation to invite the submitter to quote;
  • an exclusivity arrangement;
  • a promise of revenue, funding, equity or project work; or
  • an obligation to reimburse proposal, travel, design or preparation costs.

African Resolve Holdings may reject, suspend or remove a supplier or participant where information is false, outdated, unauthorised, non-compliant, unsafe, commercially unsuitable or inconsistent with project requirements.

9. Technical, engineering and project information

Drawings, specifications, concepts, system descriptions, bills of quantities, product recommendations, technical comparisons, prototypes and cost models remain subject to project-specific verification.

Where legislation, professional rules, municipal requirements or technical standards require design, certification, inspection or sign-off by a registered professional or competent person, that approval must be obtained before implementation. Website content does not constitute such certification.

Users must not rely on general website material to perform electrical, construction, renewable-energy, industrial, software-security or other potentially hazardous work. Installation, testing, commissioning and operation must follow the applicable manufacturer instructions, standards, safety requirements and approved project documentation.

10. Confidentiality and sensitive submissions

Information sent through a public website form is not automatically protected by a non-disclosure agreement. Do not send source code, passwords, private keys, classified information, trade secrets, full financial records, protected personal information or other highly sensitive material unless it is necessary and an appropriate secure channel or written confidentiality arrangement is in place.

African Resolve Holdings will handle business information with reasonable care and in accordance with applicable law and any written confidentiality obligations. Confidentiality does not apply to information that:

  • is lawfully public;
  • was already known without restriction;
  • is received lawfully from another source;
  • is developed independently without using protected material; or
  • must be disclosed under law, court order, procurement process or regulatory requirement.

Where disclosure is legally required, African Resolve Holdings may disclose the necessary information and, where lawful and reasonably practicable, notify the affected party.

11. Intellectual property

Website material

The African Resolve Holdings name, branding, design, written content, graphics, code, layouts and original website material are protected by applicable intellectual-property law. You may view, download or print reasonable extracts for legitimate personal, internal-business, due-diligence or procurement purposes.

You may not, without permission:

  • republish substantial website content as your own;
  • remove ownership notices or misrepresent authorship;
  • copy the site design, branding or databases for commercial use;
  • use African Resolve Holdings’ name or marks to imply endorsement; or
  • scrape, reproduce or commercially exploit content at scale.

Submitted material

You retain ownership of intellectual property lawfully contained in your submission. You grant African Resolve Holdings a non-exclusive right to copy, store, review and share the material as reasonably required to evaluate the opportunity, conduct due diligence, prepare a response or perform an agreed project.

Submitting an idea, market concept or proposal does not prevent African Resolve Holdings or another party from independently developing or pursuing similar work, provided protected material is not unlawfully used.

Ownership of project-specific designs, source code, documents, inventions, data, reports and other deliverables must be recorded in the applicable commercial agreement.

12. Acceptable use

You may use the website only for lawful purposes. You may not:

  • gain or attempt to gain unauthorised access to the website, server, accounts, data or connected systems;
  • intercept, alter, delete, damage or interfere with data or services;
  • introduce malware, harmful code, automated attacks or excessive traffic;
  • circumvent access controls, security mechanisms, rate limits or form protections;
  • use automated extraction in a manner that burdens the service or infringes rights;
  • submit unlawful, defamatory, fraudulent, discriminatory, threatening or infringing material;
  • impersonate another person or misrepresent authority, ownership, qualifications or compliance status;
  • use the website to facilitate bribery, collusion, bid manipulation, fronting, money laundering or other unlawful conduct; or
  • send unsolicited bulk messages or use contact details for unrelated marketing.

African Resolve Holdings may block access, preserve evidence and report suspected unlawful conduct to relevant service providers, clients, regulators or law-enforcement authorities.

13. Privacy, records and cookies

Personal information is processed in accordance with the Privacy Notice. Website cookies and analytics are described in the Cookie Policy. Requests for access to records are addressed in the PAIA Manual.

By submitting information, you confirm that you are entitled to provide it and that any personal information relating to another person has been collected and disclosed lawfully.

African Resolve Holdings may retain submissions and communications for enquiry management, quotations, project administration, supplier due diligence, legal compliance, dispute handling, fraud prevention and legitimate business records, subject to applicable retention requirements.

14. Third-party websites, systems and services

The website may link to or refer to government portals, suppliers, professional bodies, social platforms, mapping services, analytics providers, cloud services and other independent organisations. External links are provided for convenience or context.

African Resolve Holdings does not control and is not responsible for a third party’s content, availability, terms, security, pricing, performance or privacy practices. A reference or link does not, by itself, amount to an endorsement or appointment.

Third-party products, quotations, freight estimates, exchange rates, stock levels and technical information remain subject to confirmation with the relevant provider.

15. Website availability and security

African Resolve Holdings takes reasonable measures to operate and protect the website but does not guarantee uninterrupted availability, perfect security, compatibility with every device or browser, or that all errors will be corrected immediately.

Access may be restricted or suspended for maintenance, upgrades, investigation, security, legal compliance or circumstances outside reasonable control. You remain responsible for using suitable security software, maintaining backups and verifying downloaded files before use.

If you identify a vulnerability or security concern, report it privately through the contact page. Do not exploit the issue, access data beyond what is necessary to describe it, disrupt the service or publish sensitive details before remediation can be considered.

16. Warranties and reliance

The website is provided on an “as available” basis. African Resolve Holdings aims to publish accurate and useful information but does not warrant that every statement is complete, current, error-free or suitable for a particular project.

Before making a commercial, technical, procurement, investment or compliance decision, obtain the relevant project documents, verify material claims and seek suitable professional advice where required.

No statement on the website guarantees:

  • project, tender or funding success;
  • supplier availability or pricing;
  • regulatory or municipal approval;
  • technical compatibility or performance in every environment;
  • specific financial, operational or market outcomes; or
  • continued availability of a service, person, product or delivery partner.

17. Limitation of liability

To the maximum extent permitted by applicable law, African Resolve Holdings is not liable for indirect, incidental, special or consequential loss arising solely from:

  • use of or inability to use the public website;
  • reliance on general website information without project-specific verification;
  • a delayed, declined or unsuccessful enquiry, proposal, supplier application or tender;
  • third-party websites, systems, products, actions or omissions;
  • unavailability, interruption, malware or unauthorised activity outside reasonable control; or
  • information submitted without authority or in breach of law or third-party rights.

Where African Resolve Holdings is legally liable in connection with the website and the law permits a contractual limit, aggregate liability is limited to the direct loss proved and reasonably foreseeable in the circumstances.

Non-excludable rights remain protected Nothing in these terms excludes or limits liability, remedies or consumer rights that may not lawfully be excluded or limited, including rights that apply under the Consumer Protection Act where that Act governs the transaction.

18. Responsibility for unlawful use or submissions

You are responsible for losses, claims and reasonable costs caused by your unlawful use of the website, deliberate security interference, fraudulent submission, infringement of third-party rights, or provision of information that you were not authorised to disclose.

This clause does not require a person to compensate African Resolve Holdings for loss caused by African Resolve Holdings’ own unlawful conduct, gross negligence or any matter for which liability cannot lawfully be shifted.

19. Complaints and disputes

Raise a website, submission or preliminary-engagement complaint through the contact page, with enough information to identify the communication or issue. African Resolve Holdings may request supporting documents and will direct the matter to an appropriate responsible person.

The parties should first attempt to resolve a dispute through good-faith discussion. This does not prevent either party from seeking urgent relief, using a statutory complaint process or approaching a competent court.

These terms are governed by the laws of the Republic of South Africa. Subject to mandatory law and any separate written dispute-resolution agreement, South African courts with competent jurisdiction may hear disputes connected with the website or these terms.

20. General provisions

Severability

If a provision is invalid or unenforceable, it must be interpreted or limited as far as legally possible, and the remaining provisions continue to apply.

No waiver

A delay or failure to enforce a right does not waive that right. A waiver is effective only to the extent clearly given.

No agency

Website use or preliminary engagement does not create employment, agency, fiduciary, partnership, joint-venture or representative authority between the parties.

Headings and summaries

Headings, summaries and callouts improve readability but do not override the full wording of these terms.

Changes

African Resolve Holdings may update these terms by publishing a revised version with a new effective date. The version in force when a person uses the website or makes a new submission applies to that interaction, unless a separate agreement provides otherwise.
